Trueside Homeowner Terms of Use

Last Updated: October 16, 2026

1. Please read these Terms. These Homeowner Terms of Use (the “Terms”) are an agreement between you and Trueside LLC, a Michigan limited liability company (“Trueside,” “we,” “us,” or “our”). They cover your use of Trueside’s app, invitations, AI assistant, home record, communications, and related features (the “Service”). Our Privacy Policy explains how we handle your information and is part of these Terms.

These Terms apply only once you click to accept them. Getting an invitation, having an inspection report uploaded for you, or viewing a welcome page does not bind you, and a realtor or other inviter cannot accept for you. If you don’t agree, don’t accept or use the Service.

SECTION 25 CONTAINS AN ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER. Unless you opt out within 30 days as described in Section 25, most disputes between you and Trueside will be resolved by individual binding arbitration rather than in court or by a jury, and you may not bring claims as part of a class or representative action.

2. Who may use Trueside. You must be 18 or older, able to enter into a contract, and own the home or have authority to manage it and share information about it. The pilot is for invited Michigan homeowners only.

3. Spouses, co-owners, and household members. Each account covers one home record for one home. An adult spouse, co-owner, or household member you authorize may have their own account and access parts of that record. Each person must accept these Terms. Access to the home record does not give anyone access to another person’s email, Gmail, connected services, or privacy choices. Please keep permissions accurate and remove access when it’s no longer appropriate.

4. Invitations and sealed reports. A realtor or other inviter may start an invitation by giving Trueside your contact information, property information, and the inviter’s identity, and may upload an inspection report. Before you accept, Trueside may use limited information to prepare the invitation or welcome experience. As described in the Privacy Policy, an uploaded inspection report remains sealed: until you accept, Trueside does not review, analyze, or use its contents, other than to store and secure the file. If you do not accept, the report is deleted 30 days after the invitation, as further described in the Privacy Policy.

5. A limited proof-of-concept pilot. The Service is an invitation-only, limited Michigan pilot. It is still being tested. Features may change, be added, paused, limited, or discontinued, and vendor-related features may not be activated for every user or at every time. No formal user, property, storage, or feature limits are currently planned, but we may later set reasonable pilot limits. We will use reasonable efforts to give advance notice of a new material limit or a material reduction or discontinuation when practical, but may act immediately for security, legal, safety, or operational reasons.

6. What Trueside does. Trueside keeps a record of your home, organizes documents you provide (such as inspection reports, invoices, and warranties), and highlights maintenance and repair considerations. Our assistant, Sarah, is an AI-assisted digital home manager. Depending on the features available to you, the Service may:

7. Property information, images, and outside sources. Trueside may use public records, licensed property data, equipment or model information, maps, imagery, and other third-party sources. The invitation or Service may include an AI-generated watercolor-style image of the home based on an authorized photo or public or licensed imagery. AI-generated images are illustrative and may not accurately depict the property. Public, licensed, and other third-party information may be incomplete, delayed, or inaccurate; you should verify important information before relying on it.

8. AI can make mistakes. Sarah and other Service features use artificial intelligence. AI outputs may be incomplete, outdated, misleading, or wrong, even when they sound confident. Review important information and use your own judgment before acting. Trueside does not replace a qualified contractor, home inspector, engineer, architect, electrician, plumber, environmental professional, insurer, attorney, real estate professional, or other appropriate professional.

For an emergency or an immediate threat to people or property, including fire, a gas smell, active flooding, a suspected electrical hazard, or a similar urgent condition, do not rely on Trueside. Call 911, the appropriate utility, or another qualified emergency provider.

9. Trueside supports you but does not represent you. Trueside’s homeowner-oriented mission is to help you understand and manage your home. The Service provides information and administrative assistance, not professional advice. Trueside is not your agent, fiduciary, broker, adviser, representative, partner, or joint venturer. Trueside cannot bind you, approve work or charges, sign a vendor agreement, accept terms, make a warranty claim, settle a dispute, or otherwise act in your name. If you ask and the feature is available, Trueside may transmit information or messages, but you remain responsible for your decisions and agreements.

10. Vendor features. Vendor features are available only if Trueside turns them on and you ask for help. A business shown in the Service will be labeled either “Trueside Verified” or as a business identified from public or licensed information. Neither label is a recommendation or guarantee.

11. What Trueside costs and how it may be paid. Trueside is free for homeowners. During the pilot, no one pays Trueside, not homeowners, realtors, vendors, or sponsors. Paid features, vendor fees, and realtor subscriptions won’t start until after the pilot. Later, vendors, realtors, sponsors, or others may pay Trueside for access, introductions, or paid features. Before you use a feature that involves that kind of payment, we’ll tell you how Trueside is paid and anything else you need to understand the relationship. A realtor, sponsor, or inviter who pays Trueside does not get access to your home record; we share information only as described in the Privacy Policy or when you tell us to. We will never charge you without first clearly showing you the price and getting any agreement or consent the law requires.

12. Content you provide. “Your Content” means what you, or someone at your direction, submits-such as inspection reports, photos, serial or model numbers, documents, answers, forwarded emails, messages, and information about your home or other people. You keep whatever rights you have in Your Content; Trueside does not take ownership of it. You give Trueside a nonexclusive, worldwide, royalty-free license to store, copy, organize, analyze, transmit, and display Your Content to you and the people you authorize, only as needed to provide, secure, support, and improve the Service, comply with law, and enforce these Terms, subject to the Privacy Policy and the Gmail limits in Section 14. This license ends when Your Content is deleted from our active systems, except for limited retention the Privacy Policy or law allows.

You confirm that you have the right to share Your Content and to let us use it this way. Don’t submit someone else’s private information, email, photos, or documents unless you’re authorized to. You’re responsible for making sure Your Content is accurate and lawful. We may remove or restrict content when reasonably needed to protect the Service, comply with law, or address a violation of these Terms.

13. Feedback. We welcome your ideas, suggestions, bug reports, and other comments about Trueside (“Feedback”). Sending Feedback is voluntary. If you send Feedback, you give Trueside a perpetual, irrevocable, worldwide, royalty-free, nonexclusive license to use, copy, modify, and incorporate it into the Service or any other Trueside product or service, for any purpose, without paying you or owing you anything else. Feedback is not confidential, and Trueside has no obligation to use it, respond to it, or credit you for it. Feedback does not include Your Content. Sending Feedback does not give Trueside ownership of Your Content or any broader rights in it than Section 12 provides. We won’t publicly identify you as the source of Feedback, or use your name or testimonial, without your permission. Please don’t include anyone else’s private information in Feedback.

14. Gmail, if activated, is optional. Each person must authorize that person’s own Gmail account through a separate authorization screen; accepting these Terms is not Gmail authorization. Gmail-derived information is used only to provide the connected feature described at authorization and is not used for advertising, sold, included in aggregated or de-identified datasets, or used to train general-purpose AI models. Disconnecting Gmail stops future access but does not automatically delete material already imported into the home record; imported material must be deleted separately. See Privacy Policy Section 5 and the current connection screen for applicable controls and details.

15. Third-party services and links. The Service may rely on or connect with third-party services, including AI providers, Google services, authentication, communications, mapping, property-information sources, and vendor websites. Those services may have separate terms and privacy practices. Trueside is not responsible for a third party’s independent service, content, availability, privacy, or security. A link or integration does not mean Trueside endorses the third party.

16. Communications. Trueside may send service, security, legal, administrative, invitation, and support emails needed to operate the Service. Marketing communications are optional, and you may unsubscribe as described in the message or Privacy Policy. SMS is optional and will be sent only with separate consent where required; message and data rates may apply, and consent to SMS is not a condition of using the Service. If SMS is offered, the message or consent flow will explain how to opt out or get help. Calls may be recorded only if recording is enabled and Trueside provides any notice and obtains any consent required by law; otherwise, calls are not recorded.

17. Account security. Keep your sign-in credentials confidential, use reasonable safeguards, and promptly tell Trueside at support@trueside.com if you suspect unauthorized access. Do not share credentials or let another person impersonate you; use household-access features instead. You are responsible for activity through your account to the extent caused by your failure to use reasonable account safeguards. Keep your account and contact information accurate and current.

18. Use the Service responsibly. You may not use or attempt to use the Service to:

You must comply with applicable law and respect others’ intellectual-property, privacy, and other rights.

19. Trueside’s Service and intellectual property. Trueside and its licensors own the Service, including its software, design, interfaces, documentation, text, graphics, organization, and Trueside-created content, excluding Your Content and third-party materials. Trueside’s names, logos, and product names are protected marks. Subject to these Terms, Trueside gives you a limited, personal, nonexclusive, nontransferable, revocable license to access and use the Service for your own household’s noncommercial home-management purposes during the pilot. You may keep copies of home-record materials the Service allows you to export, subject to third-party rights. No other license is granted, and Trueside reserves all rights not expressly granted.

20. Suspension, closing your account, and the end of the pilot. You can stop using the Service and close your account at any time. We may suspend or limit access when reasonably needed to investigate misuse, protect users or the Service, comply with law, address a security or safety risk, or enforce these Terms. We may close an account for a serious or repeated violation, or end the pilot or the Service. When practical, we’ll give you notice and a reasonable chance to export your home record first. Closing your account, disconnecting Gmail or another integration, and deleting your information are separate choices. Closing your account does not automatically delete everything, and disconnecting Gmail does not delete what was already imported. The Privacy Policy explains how to access, correct, export, or delete information and the limits that may apply, such as legal holds and permitted retention. When your account closes, your right to use the Service ends. Sections that by their nature should continue, such as ownership, content rights for retained copies, disclaimers, liability limits, indemnity, disputes, and general terms will still apply.

21. Changes to the Service and these Terms. The pilot will evolve, and we may update the Service and these Terms for new features, legal requirements, security needs, or operational changes. We’ll notify you of material changes to these Terms before they take effect-by email, in-app notice, or another reasonable method-unless an urgent legal or security reason requires faster action. If a change materially affects your rights and the law requires it or it otherwise makes sense, we’ll ask you to accept the updated Terms. Otherwise, the notice will say when the change takes effect and what you can do if you don’t agree. We’ll update the “Last Updated” date whenever these Terms change.

22. Important warranty disclaimers. THE SERVICE IS A FREE, LIMITED PROOF-OF-CONCEPT PILOT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUESIDE PROVIDES THE SERVICE, AI OUTPUTS, HOME AND PROPERTY INFORMATION, VENDOR INFORMATION, RECOMMENDATIONS, LINKS, INTEGRATIONS, AND THIRD-PARTY SERVICES “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUESIDE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Trueside does not promise that the Service will be uninterrupted, secure, error-free, complete, current, or available for any particular period; that AI outputs or home, property, equipment, vendor, quote, maintenance, or repair information will be accurate or suitable for your circumstances; that a vendor will respond or perform satisfactorily; or that defects will be corrected. Security safeguards reduce risk but cannot guarantee absolute security. These disclaimers do not limit any express promise Trueside makes in these Terms or any warranty or consumer right that cannot lawfully be disclaimed.

23. Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUESIDE AND ITS AFFILIATES, SERVICE PROVIDERS, LICENSORS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OR CORRUPTION OF DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF TRUESIDE AND THE OTHER TRUESIDE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TRUESIDE FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. These limitations apply to the extent permitted by law and regardless of the theory of liability. They do not apply to Trueside’s fraud, willful misconduct, or gross negligence, or to liability that applicable law does not allow Trueside to exclude or limit. Some jurisdictions do not allow certain exclusions or limitations, so part of this section may not apply to you.

24. A narrow user indemnity. You will defend, indemnify, and hold harmless Trueside and its affiliates, officers, directors, employees, and agents from third-party claims, damages, judgments, settlements, costs, and reasonable attorneys’ fees to the extent arising from (a) your unlawful or materially unauthorized use of the Service; (b) Your Content infringing, misappropriating, or violating a third party’s rights; (c) your failure to obtain an authorization or permission you were required to obtain; or (d) your material breach of these Terms. This obligation does not apply to the extent a claim was caused by Trueside’s negligence, willful misconduct, or breach of these Terms. Trueside will give you reasonably prompt notice of a covered claim, except that delayed notice reduces your obligation only to the extent the delay materially prejudices the defense. You may control the defense with counsel reasonably acceptable to Trueside, and Trueside will reasonably cooperate at your expense. You may not settle a claim in a way that admits fault by Trueside, imposes a non-monetary obligation on Trueside, or fails to fully release Trueside without Trueside’s written consent, not to be unreasonably withheld. Trueside may participate with its own counsel at its own expense.

25. Disputes and arbitration. Please read this section carefully; it affects your legal rights.

(a) Governing law. Michigan law governs these Terms and any Dispute, without regard to conflict-of-laws rules. The Federal Arbitration Act governs this Section 25.

(b) Talk to each other first. Before either of us starts arbitration or a small-claims case, the party with the claim will send the other a short written description of the issue and the relief requested-you to support@trueside.com, and Trueside to your account email. We’ll both try in good faith to resolve it within 30 days after the description is received. Deadlines for bringing the claim are paused during that time.

(c) Arbitration. Except as stated in Section 25(d), any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or the Service (a “Dispute”) will be resolved by final, binding, individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. A single arbitrator may award the same individual relief a court could. Hearings may be held by video, by phone, or on written submissions; any in-person hearing will be in Kent County, Michigan, unless we agree otherwise. Fees follow the AAA consumer fee schedule, and Trueside pays all AAA and arbitrator fees except any filing fee those rules assign to you.

(d) When a court can be used instead. Arbitration is not required in two situations. (1) Small claims: either of us may bring an individual claim in small-claims court if the claim qualifies there, for as long as it stays in that court on an individual basis. (2) Protecting intellectual property, systems, and data: either of us may ask a court for an order, such as an injunction, to stop actual or threatened infringement of, or unauthorized access to, its intellectual property, systems, or data. Any request for money damages connected to that conduct will still be arbitrated.

(e) Individual claims only; no jury. You and Trueside may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. Each of us waives any right to a jury trial for Disputes subject to arbitration. This Section 25(e) can be set aside only by a court, and only for the specific claim or request for relief the court finds it cannot be enforced against (for example, a request for public injunctive relief that applicable law does not allow to be waived). If that happens: (1) that claim or request for relief alone will be decided by a court under Section 25(g); (2) all other claims will still be decided in individual arbitration, and that arbitration will go first; and (3) the court case will be paused until the arbitration is complete.

(f) 30-day opt-out. You can opt out of arbitration by emailing support@trueside.com within 30 days after you first accept these Terms, with your name, account email, and a statement that you opt out. Opting out doesn’t affect the rest of these Terms. If we materially change this Section 25, you may reject the change by emailing us within 30 days after it takes effect, and the prior version will continue to apply to you.

(g) Courts. Any Dispute that isn’t arbitrated, including if you opt out, and any action to enforce or challenge an arbitration award, will be heard only in the state courts serving Kent County, Michigan or the federal courts for that area, and you and Trueside consent to those courts’ jurisdiction and venue.

26. Electronic contracting and notices. By clicking to accept, you agree that electronic records and signatures may create a binding agreement. You may save or print these Terms. Trueside may send notices to your account email, through the Service, or by another reasonable method. Notices to Trueside must be sent to support@trueside.com and, for formal legal notices, to the address below. Keep your contact information current.

27. General contract terms. You may not transfer these Terms or your account without Trueside’s written consent. Trueside may assign these Terms to an affiliate or in connection with a merger, financing, reorganization, sale of assets, or similar transaction if the assignee assumes Trueside’s obligations. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the rest will remain effective. A failure to enforce a provision is not a waiver; a waiver must be in writing. These Terms and the Privacy Policy are the entire agreement about the Service. Additional terms you accept for a specific feature control only for that feature if they conflict with these Terms. No third party has rights under these Terms except the Trueside parties identified in Sections 23 and 24. Headings are for convenience only.

28. Contact Trueside. For support or questions about these Terms, contact us at support@trueside.com
